The Minnesota Secretary of State requires that Minnesota business entities (like LLC’s, corporations, nonprofits, co-ops, etc.) renew their business filing by December 31 of each calendar year. The renewal is free, and requires just a bit of updated information. Haven’t done yours yet? That’s OK. The SOS allows a grace period of a few months into the next year before it considers your entity “inactive.” Even if your entity becomes inactive, you can (and should) still renew to reinstate it to active status to ensure, among other things, that all the contracts you enter into on behalf of the company are legal.
